Experience
- Advised Tokio Marine Holdings, Inc. (listed on Tokyo Stock Exchange) on the sale of its reinsurance subsidiaries Tokio Millennium Re AG and Tokio Millennium Re (UK) Limited for the total consideration of approximately USD 1.5 billion.
- Advised the joint lead managers consisting of Barclays, Citigroup, Merrill Lynch and Wells Fargo on the USD 1 billion 5.000% Guaranteed Subordinated Fixed Rate Reset Step-up Callable Notes issued by Swiss Re Finance (Luxembourg) S.A. and irrevocably guaranteed on a subordinated basis by Swiss Reinsurance Company Ltd
- Advised the joint lead managers consisting of BNP Paribas, BofA Merrill Lynch, Citigroup, Credit Suisse and Morgan Stanley on the USD 1 billion Guaranteed Subordinated Fixed Spread Callable Notes issued by Swiss Re Finance (Luxembourg) S.A. and irrevocably guaranteed on a subordinated basis by Swiss Reinsurance Company Ltd.
- Advised Allianz Global (leading international provider of assistance, travel insurance and personal services)
- Advised Helvetia Group AG, a leading international insurance group, in successfully placing new shares in a private placement by way of an accelerated bookbuilding process, resulting in gross proceeds of approximately CHF 300 million
- Advised Deutsche Vermögensberatung Aktiengesellschaft DVAG, Germany’s largest independent financial sales company, on the acquisition of a participation in the independent insurance broker Global Sana AG.
- Advised four founders and further shareholders of flatfox AG in successfully selling their shares in flatfox to Mobiliar, one of Switzerland’s leading insurance companies
- Advised Swiss entity (global leader in its industry) in filling a legal action against one of the largest insurance syndicates related to the breach of a D&O insurance policy in the courts in Zurich; this legal action was mainly caused by parallel proceedings ongoing in the Eastern District of New York.
