The NKF Competition team offers our domestic and international clients efficient, practical solutions tailored to their specific needs.

We advise on both litigious and non-litigious competition law matters in setting up and running businesses, and in transactions. We advise on investigation proceedings before the Swiss Competition Commission and partner with international firms to coordinate multijurisdictional proceedings worldwide. Our broad business law expertise informs our advice. Working with our Corporate/M&A, Capital Markets, Technology and Banking, Finance & Regulatory teams, we excel in advising on the competition law aspects of large-scale complex cross-border transactions.

Highlights:

  • Actelion in the USD 30 bn takeover of Actelion by Johnson & Johnson and the demerger and spin-off to shareholders of Actelion’s drug discovery and early clinical development business
  • Procter & Gamble advising, among others, on distribution, advertisement and promotions
  • Mitsubishi Corporation on Swiss competition and merger control matters in the acquisition of a minority stake in Bergé Automoción, S.L.
  • ASSA ABLOY in the sale of ASSA ABLOY’s sensor technology business CEDES in Switzerland to capiton AG
  • CLS, a joint venture owned by 81 banks worldwide, on the enforceability of rules and regulations vis-à-vis CLS’ clearing members and the assessment under competition law
  • Capvis (Swiss PE house) in various acquistions on competition law matters and merger control filings in Switzerland and the coordination and supervising of filings in other jurisdictions
  • FibroGen Inc. in a dispute with one of its contract manufacturers
  • Schweiter Technologies AG on competition law on merger control in connection with the acquisition of a 40 per cent stake in JMB Wind Engineering (JMB)
  • Advising various insitutions in major cartel investigations by the Swiss Competition Comission, including in the Swiss LIBOR, FX, leasing, and bid rigging investigations
