Software AG sells Technology Platform Businesses to IBM for EUR 2.13 bn

Niederer Kraft Frey advised Software AG, a company majority owned by Silver Lake, on Swiss law on the sale of several technology platforms to IBM for EUR 2.13 billion in cash. This complex carve-out transaction was successfully implemented simultaneously at closing and involved over 50 jurisdictions.
