Thomas Brönnimann’s practice focuses on capital markets and private and public M&A transactions, with a particular focus on listed entities and other large enterprises. Thomas also advises listed companies on corporate law and governance matters and on securities regulations. Other areas of work include financings through the credit spectrum.

Experience
Thomas has extensive experience in large corporate/M&A and capital markets transactions. He represents issuers and investment banks in IPOs, rights offerings, convertible bonds, PIPE transactions, block trades and other capital market transactions, and advises listed companies on corporate law and governance matters and securities regulations. Thomas’ M&A practice includes both public tender offers and private transactions for strategic and financial buyers and sellers. Thomas represents clients before the Swiss Takeover Board. Other areas of work include financings through the credit spectrum.
Highlights:
- Counsel to Landis+Gyr in the CHF 2.3 billion IPO of Landis+Gyr on SIX Swiss Exchange
- Counsel to Actelion in the USD 30 billion all-cash tender offer by Johnson & Johnson
- Counsel to Nasdaq listed BioTelemetry in connection with its successful competing tender offer for all the share of SIX listed LifeWatch
- Counsel to Partners Group and Capvis in their multiple placements of shares in SIX listed VAT Group via accelerated bookbuilding transactions with an aggregate transaction value of approx. CHF 1.2 billion
- Counsel to underwriters in the rights offerings of SIX listed Dufry for the multi-billion acquisitions of The Nuance Group and World Duty Free
