Julia Tolstova specialises mainly in large and complex domestic and cross-border M&A transactions and capital markets. She also advises clients on all aspects of takeover and corporate law, and corporate governance.
Her clients comprise public and private companies across a broad spectrum of commercial sectors as well as private equity firms.
Matters in which Julia Tolstova acted as counsel include:
- Advising Idorsia Ltd (SIX listed) on the issuance and offering of CHF 600 million senior unsecured convertible bonds due 2028 convertible into shares of Idorsia by way of private placement
- Advising Meyer Burger Technology AG (SIX listed) on the concurrent private placement of over 155 million newly issued registered shares with a nominal value of CHF 0.05 per share and EUR 145 million green senior unsecured guaranteed convertible bonds due 2027 by way of accelerated book building process
- Advising Global Blue and Silverlake as Swiss counsel in its combination with Fair Point Acquisition Corporation, as a result of which Global Blue became a public traded company on the New York Stock Exchange
- Advising CRH plc as Swiss counsel on the sale of its European distribution business to private equity funds managed by Blackstone
- Advising Électricité de France on the sale of its 25% participation in Alpiq Holding AG (SIX listed) to Primeo Energie (EBM) and EOS Holding
- Advising Actelion in connection with the $30 billion public tender offer by Johnson & Johnson to the shareholders of Actelion and the simultaneous demerger of Idorsia from Actelion
- Advising BioTelemetry, Inc. (NASDAQ listed) in connection with its competing public tender offer to the shareholders of LifeWatch AG
